The IBSA is delighted to invite you to our first physical conference for two years, brought to you by members of the IBSA, where we'll be examining the journey two entrepreneurs undertake as they navigate the ups and downs of their business and the various personal, legal, and financial complications that occur along the way.
During the day, 20 professional advisors of various disciplines will discuss how the entrepreneurs can resurrect their business model, dealing with their intellectual property, insolvency procedures, corporate restructuring and refinancing opportunities, for ultimate success. The fictitious case study centres around a unique golf simulation game that our example entrepreneurs have invented, and develops into a review of international tax developments for the multi-national company emerging from the case study, and its focus on the world of sport and entertainment to maximise income for the company and its sporting personalities.
The conference will conclude with a networking barbecue on the roof terrace of Investec's offices, at 30 Gresham St, EC2V 7QN.

Examination of the Intellectual Property created by the entrepreneurs as against other golf simulation Apps, patent, copyright, design rights and trade secrets; the business opportunities including raising seed capital and cash flow demands, negotiating relevant licensing agreements; directors’ responsibilities when creditors are unpaid and options available to a failing company including moratorium procedures and CVAs, transfer of assets to a successor company.
Creation of new successor company in light of insolvency law and practice, transfer of IP, exploiting revenue-generating opportunities, Stage 2 financing including the issue of the Anian cryptocurrency, liquidity issues and subsequent prospectus requirements, dilution issues for the entrepreneurs when their shareholders’ agreement is challenged and private equity partners are required, and eventual exit strategies for the entrepreneurs.

Catherine Jewell is a Partner at Beck Greener LLP and provides patent-related services in the chemical field, from initial advice on patentability, to drafting and filing applications and their prosecution, including opposition and appeals. She has a particular interest in the new unitary patent system which is expected to come into force in Europe in 2017.
She is also a Chartered and European Trade Mark Attorney and has advised on a variety of issues in relation to the use and registration of marks, from clearance searches and pre-filing advice, through to opposition and invalidity/revocation actions.
The majority of her experience relates to European patent and trade mark applications, but she has also handled global portfolios covering countries such as the US, China, Korea, Japan and Canada.
Catherine worked in solid-state and materials chemistry before joining the IP profession, concentrating on the synthesis of inorganic materials and manipulation of their structure and properties.
Maurizio Marullo is a Partner at LAWP. His practice focuses on commercial, corporate, international tax law and criminal tax law. Dmitry Zapol is an international tax advisor with practical knowledge of the principles of individual and corporate international taxation and cross-border business planning. He joined IFS in September 2010 after earning his LLM (Tax) degree at King’s College, London. Five years prior to this, Dmitry earned his LLB at Durham University and completed an LPC at the College of Law. Dmitry is a qualified Russian lawyer — he came to the UK from Moscow, where for five years he worked as an associate at Moscow City Bar Association "Barshchevsky & Partners". Dmitry specialised in advising foreign investors exploring opportunities in Russia on corporate tax implications together with Russian and cross-border tax planning. Dmitry holds the Advanced Diploma in International Tax and is studying to become a CTA.
Aliasghar Kanani is a tax partner with LE/AX. His favorite field of activity is Swiss and International corporate tax law, which covers varied topics, such as international tax planning for multinationals and SMEs, group and financial restructurings. He also advises high net worth individuals on Swiss and international tax planning aspects, as well as non-profit organizations.
Following his graduation in Swiss Law, he obtained a Master of Advanced Studies in business law (MBL). In order to complete this Master degree, he wrote a thesis on “Merger and its tax treatment”. He completed an LL.M. in International Taxation, during which he specialized in Swiss and International Business taxation and wrote a thesis on “IP restructurings”.

Jose Aguilar Shea is a partner of the Tax Strategy & Benefits department in the Madrid office. He has extensive experience advising national and international corporations and individuals on the taxation aspects of their investments in Spain. Mark Bloomberg is an intellectual property litigator. With more than 30 years of experience, he has represented clients in infringement actions, and advised clients concerning patent infringement, validity, remedies and licensing. During this time, Mr. Bloomberg has participated in all aspects of patent litigation, including jury trials, bench trials, claim construction hearings, arbitrations and appeals.
